1. Introduction and acceptance

These Terms of Service (“Terms”) form a binding legal agreement between you and fam.work (referred to as “fam.work”, “we”, “us”, or “our”). These Terms govern your access to and use of the websites at fam.work and any subdomains, along with related APIs, mobile applications, and services (together, the “Service”).

By creating an account, accessing the Service, or completing any transaction through fam.work, you confirm that you have read, understood, and agree to be bound by these Terms, by our Privacy Policy, our Cookie Policy, and our Crypto Risk Disclosures. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” refers to both you individually and the organisation.

2. Eligibility and age

You may use the Service only if:

  • You are at least 18 years old (or the age of majority in your jurisdiction, whichever is higher).
  • You have the legal capacity to enter into a binding contract.
  • You are not barred from using the Service under the laws of your jurisdiction or any jurisdiction you access the Service from.
  • You are not on any sanctions list maintained by the United States (OFAC), the United Kingdom (HM Treasury), the European Union, or the United Nations, and you are not located in, or a resident of, any jurisdiction subject to comprehensive sanctions (currently including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine).
  • You are not creating an account for any other person or entity without authorisation.

If we discover that you do not meet these requirements, we may suspend or terminate your account without notice.

3. Definitions

  • Buyer — a user who purchases a Service or Digital Product from a Seller.
  • Seller — a user who lists and sells a Service or Digital Product on the Service.
  • Gig — a listing by a Seller for either a Service or a Digital Product.
  • Service Gig — a gig offering custom work delivered by the Seller after purchase.
  • Digital Product Gig — a gig offering a pre-made digital file delivered automatically or near-automatically.
  • Escrow — the Solana smart contract that holds funds between order creation and release.
  • Order — a completed purchase between a Buyer and Seller.
  • Platform Fee — the percentage fee fam.work charges on each completed Order. Currently 5% (subject to change per §7.5).
  • Referral Commission — the percentage of the Platform Fee paid to a referring user.
  • Premium Member — a user who has purchased the Premium tier.
  • Wallet — a non-custodial cryptocurrency wallet (e.g., Phantom, Solflare) you link to your account.
  • Content — text, images, code, files, messages, reviews, or any other material submitted by users.

4. Account registration and security

4.1 Creating an account

You must provide accurate information when registering, including a valid email address and (if you use social login) accurate information from the authentication provider. You agree to update your account details to keep them accurate.

4.2 Account security

You are responsible for the security of your account and your linked Wallet. You must:

  • Keep your password confidential.
  • Enable two-factor authentication if available.
  • Never share your private keys, seed phrases, or Wallet credentials with anyone, including fam.work support. fam.work support will never ask for your private keys or seed phrase. Any person who does is attempting fraud.
  • Notify us immediately at hey@fam.work if you suspect unauthorised access to your account or Wallet.

We are not liable for losses resulting from unauthorised access to your account or Wallet if that access resulted from your failure to maintain appropriate security.

4.3 One account per person

Each natural person or legal entity may maintain one account. Operating multiple accounts to circumvent limits, reviews, refunds, or bans is grounds for termination of all connected accounts and forfeiture of funds held in Escrow.

4.4 Linked Wallets

You may link one Solana Wallet to your account. You may change the linked Wallet at any time subject to our verification requirements. Certain features (listing gigs, purchasing gigs, purchasing Premium) require a linked Wallet.

5. The Service and our role

fam.work is a neutral marketplace platform. We provide technology that connects Buyers and Sellers and facilitates payment through an on-chain smart contract Escrow. We are not a party to the transactions between Buyers and Sellers. We do not provide, review, warrant, or endorse the services or digital products listed on the Service.

fam.work is not a:

  • Bank or money transmitter.
  • Investment adviser, broker-dealer, or financial intermediary.
  • Escrow agent in the traditional regulated sense — the Escrow is a smart contract, not a licensed escrow service.
  • Insurer or guarantor of transaction outcomes.
  • Employer, contractor, or agency in respect of Sellers.

Sellers are independent contractors, not employees or agents of fam.work. Any dispute about the quality, legality, or suitability of a Service or Digital Product is between the Buyer and the Seller, subject to the dispute resolution process in §10.

6. User conduct

You agree not to:

  • Use the Service to engage in any illegal activity or to facilitate any illegal activity by others.
  • List, sell, or purchase any prohibited item (see §13 below for the full list).
  • Impersonate any person or misrepresent your identity, affiliation, or qualifications.
  • Harass, threaten, intimidate, or defame any other user or any member of fam.work staff.
  • Interfere with or disrupt the Service, including by introducing malware, exploiting vulnerabilities, brute-forcing accounts, or overwhelming our infrastructure.
  • Attempt to reverse-engineer, scrape, crawl, or bulk-collect data from the Service other than through our documented public APIs, and only in compliance with their rate limits.
  • Circumvent the Platform Fee by taking transactions off-platform after initial contact through the Service (see §7.2).
  • Manipulate search rankings, reviews, ratings, or referral metrics through fake accounts, coordinated upvoting, self-referrals, or review-for-review schemes.
  • Use automated tools to create accounts, post content, or submit transactions, except through officially documented APIs.
  • Upload content you do not own or do not have rights to distribute.

Violation of §6 is grounds for content removal, account suspension, account termination, and forfeiture of funds held in Escrow.

7. Transactions and fees

7.1 How transactions work

A transaction begins when a Buyer purchases a Gig. On purchase:

  1. The Buyer’s Wallet transfers the purchase amount to the Escrow smart contract. The transaction is deterministic and on-chain.
  2. The Seller delivers the Service or Digital Product.
  3. The Buyer reviews the delivery and, if accepted, triggers the release. The Escrow contract disburses funds to the Seller (net of the Platform Fee and any Referral Commission), to the platform wallet (Platform Fee), and to the referring user’s wallet (Referral Commission, if applicable).

If there is a disagreement, either party may open a dispute (see §10).

7.2 Off-platform solicitation

Sellers agree not to:

  • Provide external contact details (email, Telegram, Discord, etc.) to Buyers before a gig is purchased.
  • Encourage Buyers to pay outside the Escrow.
  • Offer discounts conditioned on taking payment off-platform.

Buyers agree not to solicit off-platform arrangements. Both parties agree that if an off-platform arrangement arises from contact initiated on fam.work, they will still honour the Platform Fee by completing the transaction through the Service.

Violation of §7.2 is grounds for account termination.

7.3 Seller obligations

Sellers agree to:

  • Only list Gigs for Services or Digital Products they have the legal right to sell.
  • Accurately describe what the Buyer will receive, including delivery timeframe, revisions included, and formats.
  • Deliver within the stated timeframe or, if a delay is unavoidable, proactively communicate with the Buyer and request an extension through the Service.
  • Honour the number of revisions stated in the Gig description.
  • Comply with all applicable intellectual-property laws, including not selling another person’s work as their own.
  • Be responsible for their own tax obligations.

7.4 Buyer obligations

Buyers agree to:

  • Provide accurate requirements and any files or references the Seller needs to complete the work.
  • Review delivered work in good faith and not abuse the revision or dispute process.
  • Release payment promptly once delivery is accepted.
  • Not open disputes for reasons other than good-faith disagreement with the delivered work (fraudulent or bad-faith disputes may result in loss of the dispute and account action).

7.5 Platform Fee

fam.work charges a Platform Fee of 5% on the gross amount of every completed Order. The Platform Fee is deducted on-chain at the time of payment release and distributed between fam.work and any applicable referring user. The Platform Fee may be changed by governance of the Escrow contract, subject to a 7-day on-chain timelock. Any change applies only to Orders created after the new fee takes effect.

7.6 Referral Commissions

A user (“Referrer”) who refers another user (“Referee”) who later becomes a Seller earns a Referral Commission on each Order the Referee completes as Seller:

  • Standard Members: 1% of the Order amount.
  • Premium Members: 2% of the Order amount.

The Referral Commission is paid from the Platform Fee, not in addition to it. For example, on an Order of 100 USDC with a 5% Platform Fee: the Seller receives 95 USDC, and the 5 USDC Platform Fee is split so the Referrer receives 1 USDC (standard) or 2 USDC (premium) and fam.work retains the remainder.

You may not refer yourself, coordinate with others to create circular or synthetic referrals, or manipulate the referral graph. Referrals discovered to be fraudulent will be unwound and commissions clawed back.

7.7 Taxes

You are solely responsible for determining and paying all taxes, levies, or duties imposed by any government in respect of your use of the Service, including income tax on earnings as a Seller and any applicable VAT or sales tax. fam.work does not collect taxes on your behalf. We may provide you with transaction records to assist with your tax reporting but we do not issue tax documents (such as Form 1099 in the US) unless required by law.

7.8 Supported currencies

Currently the Service supports SOL, USDC (on Solana), and USDT (on Solana). We may add or remove supported currencies with notice. If a supported currency becomes unsupported (e.g., due to regulatory action against a stablecoin issuer), we will provide reasonable notice and process any Orders already in Escrow in the original currency to completion.

8. Escrow smart contract

The Escrow is a Solana smart contract deployed by fam.work. The devnet program ID is 8u4FQomiEksFkpfut43LD8LhrpPVds27iwd2tjwrTJVy. The mainnet program ID will be published here upon mainnet deployment. The contract code is public and available for inspection on the Solana Explorer.

8.1 What the Escrow does

For each Order, the Escrow holds funds until one of the following events occurs:

  • The Buyer releases payment after delivery acceptance, triggering automatic disbursement.
  • A dispute is raised, in which case funds are locked pending admin resolution per §10.

8.2 What the Escrow does not do

  • No chargebacks. Blockchain transactions are irreversible by design. Once payment is released, funds cannot be recalled through the Escrow.
  • No interest. Funds in Escrow do not earn interest for either party.
  • No custodial rights. fam.work does not hold, move, or control user funds directly in the happy path. All transfers are executed by the Escrow contract itself, signed by a Program-Derived Address.
  • No insurance. Funds in Escrow are not FDIC, FSCS, or otherwise government-insured.

8.3 Admin authority in disputes

In the event of a dispute, an administrator designated in the Escrow contract’s global state has the authority to resolve the dispute by splitting the escrowed amount between Buyer and Seller. The administrator’s decision is binding on-chain and not directly appealable through the Service. See §10 for the dispute process and §24 for legal dispute resolution against fam.work itself.

8.4 Smart contract risks

You acknowledge and accept the risks associated with smart contracts, including:

  • Bugs or exploits that could result in partial or total loss of funds. While we engage security auditors and follow best practices, smart contracts cannot be guaranteed bug-free.
  • Governance changes to the Escrow contract (fee updates, admin changes), which are subject to on-chain timelocks.
  • Network congestion on Solana that could delay transactions.
  • User error including sending funds to the wrong address or interacting with a phishing contract.

9. Delivery and acceptance

9.1 Delivery

The Seller marks the Order as “Delivered” when they have completed the work. The platform records the delivery timestamp and any files or messages attached.

9.2 Buyer review period

Once delivery is submitted, the Buyer has 7 calendar days to either:

  • Accept the delivery, triggering release of the Escrow.
  • Request a revision, if revisions are included in the Gig, returning the Order to the Seller to rework.
  • Open a dispute under §10.

If the Buyer takes no action within the review window, fam.work may automatically release the Escrow to the Seller. This auto-release is designed to prevent bad-faith Buyers from indefinitely holding Sellers’ funds hostage.

9.3 Revisions

The number of revisions included in an Order is set by the Seller at Gig creation. Additional revisions beyond the included count may be negotiated directly between the parties through the Service’s messaging system, at the Seller’s discretion.

9.4 Extensions

A Seller may request a delivery extension through the Service. The Buyer may accept, reject, or negotiate the extension. An unresolved extension request does not automatically extend the original deadline.

10. Disputes between Buyer and Seller

10.1 When to dispute

A dispute is appropriate where:

  • The Seller has failed to deliver within the agreed timeframe and has not communicated.
  • The delivery materially fails to meet the description of the Gig.
  • The Buyer is making unreasonable demands beyond the scope of the Gig description.
  • Either party reasonably believes the other has engaged in fraud or bad-faith conduct.

10.2 Opening a dispute

Either party may open a dispute by clicking “Dispute Order” on the relevant Order page. Opening a dispute:

  • Freezes the Escrow funds until the dispute is resolved.
  • Automatically creates a support ticket.
  • Notifies the other party via email and in-app.

10.3 Evidence

Both parties may submit evidence (screenshots, chat logs, files, transaction hashes, emails) to support their position. fam.work may request additional evidence. Failure to respond to a request for evidence within 5 calendar days may result in the dispute being decided against the non-responsive party.

10.4 Resolution

A fam.work administrator will review the evidence and reach a decision, splitting the escrowed amount between the Buyer and Seller in whatever proportion the administrator considers fair. Possible outcomes include:

  • Full release to Seller (Buyer’s dispute rejected).
  • Full refund to Buyer (Seller failed to deliver).
  • Partial split.

The administrator’s decision is final in respect of the on-chain Escrow distribution and is not appealable through the Service. You may still pursue legal remedies in accordance with §24.

10.5 Bad-faith disputes

Opening a dispute in bad faith (for example, after receiving and using a delivered digital product) is grounds for account termination and may result in the administrator releasing the full Escrow to the other party.

10.6 Dispute process does not include Platform Fee

When a dispute is resolved, the full escrowed amount is split between Buyer and Seller. No Platform Fee is charged and no Referral Commission is paid on disputed Orders.

11. Refunds and cancellations

11.1 Before delivery

A Buyer may cancel an Order before the Seller has marked it as delivered. Cancellation returns the full escrowed amount to the Buyer, minus any on-chain transaction fees (which are not refundable because they are paid to the Solana network, not to fam.work).

11.2 After delivery and before acceptance

A Buyer who is not satisfied with a delivery should either request revisions or open a dispute per §10.

11.3 After acceptance

Once a Buyer accepts a delivery and releases the Escrow, the transaction is final and not refundable through the Service. On-chain transactions are irreversible. This is a fundamental property of the blockchain, not a limitation we can override.

11.4 Consumer cooling-off rights (EU/UK/select jurisdictions)

Consumers in the European Union, United Kingdom, and certain other jurisdictions may have statutory cooling-off rights under the Consumer Rights Directive (EU), Consumer Rights Act 2015 (UK), or equivalent local law. These rights may allow cancellation within 14 days, except where you have expressly consented to immediate performance of a digital service (in which case you waive the cooling-off right on completion of performance).

When purchasing a Gig that is immediately delivered (for example, a Digital Product Gig), you expressly consent to immediate performance and acknowledge that you lose any statutory cooling-off right once the Seller has begun performance. For Service Gigs, statutory cooling-off rights may apply; contact us at hey@fam.work within the cooling-off window to assert them.

12. Digital content and intellectual property

12.1 Your content, your rights

You retain all intellectual property rights to content you submit to the Service (gigs, portfolio items, descriptions, images, messages, reviews). By submitting content, you grant fam.work a worldwide, non-exclusive, royalty-free licence to host, display, reproduce, and distribute your content as necessary to operate the Service. This licence ends when you delete the content or terminate your account, except where retention is required by law or necessary for the completion of pending Orders.

12.2 Licence from Seller to Buyer

Unless the Seller and Buyer agree otherwise in writing:

  • For a Digital Product Gig, on payment release the Seller grants the Buyer a non-exclusive, worldwide, perpetual licence to use the delivered file for the purposes described in the Gig (personal use, commercial use, etc.) as stated in the listing.
  • For a Service Gig, on payment release the Seller assigns to the Buyer all right, title, and interest in the specific deliverables produced for that Buyer, subject to any pre-existing assets owned by the Seller (e.g., fonts, templates, software tools) which remain the Seller’s property.

Sellers and Buyers may negotiate different licensing terms by explicit written agreement through the Service’s messaging system.

12.3 Reports of intellectual property infringement

If you believe content on the Service infringes your copyright or trademark, contact us at hey@fam.work with details of the alleged infringement. Repeat infringers will have their accounts terminated.

13. Prohibited content

You must not list, buy, or distribute through the Service any content that:

  • Violates any applicable law or regulation.
  • Infringes on any intellectual-property right, trade secret, right of publicity, or privacy right.
  • Is child sexual abuse material (CSAM) or content that sexualises minors. We report CSAM to law enforcement.
  • Depicts non-consensual sexual content.
  • Promotes terrorism, violent extremism, or mass violence.
  • Promotes unlawful discrimination or harassment on the basis of race, ethnicity, religion, gender, sexual orientation, gender identity, disability, or any protected characteristic.
  • Is designed to harm, defraud, or deceive (e.g., phishing kits, malware, stalkerware, academic essay mill services for assessed work).
  • Is a cybercrime tool (account-takeover guides, credential-stuffing software, DDoS-for-hire, botnet rental).
  • Solicits, offers, or facilitates the sale of drugs, weapons, explosives, stolen goods, counterfeit currency, or items requiring regulatory licence that the Seller lacks.
  • Sells academic or professional credentials, certifications, or licences.
  • Is an unregistered security, or facilitates an unregistered securities offering — see §16.
  • Impersonates a person, brand, or government authority.
  • Contains malware, viruses, worms, or other malicious code.
  • Includes private personal information about any third party without consent (doxxing).
  • Is spam or bulk-generated content designed to inflate metrics.

We may remove content that violates these Terms at our sole discretion, without prior notice, and may terminate accounts of repeat violators.

14. Content moderation

fam.work reviews content on an ongoing basis. We may remove content, restrict features, suspend accounts, or terminate accounts where we determine a violation has occurred. We will generally provide the user with an explanation and (where appropriate) an opportunity to respond, unless urgency, legal requirement, or user safety dictates otherwise.

Users with terminated accounts may appeal the decision by contacting hey@fam.work within 30 days.

15. Premium membership

15.1 Features

Premium membership grants the following benefits:

  • 2% Referral Commission rate (instead of the standard 1%).
  • Verified Badge on your profile and gigs.
  • Custom Call-to-Action button on your profile.
  • Enhanced gig visibility in search results.
  • Portfolio showcase — unlimited portfolio items with rich formatting.
  • About Me section with rich text.
  • Cover Image on your profile.
  • Additional features introduced over time that may be reserved for Premium Members.

15.2 Price

As at the effective date of these Terms, Premium costs 1 SOL as a one-time purchase. Users signing up through a valid referral link receive a 10% discount, paying 0.9 SOL. Prices are denominated in SOL and vary in fiat-equivalent value with the SOL market price. Prices may be changed prospectively; any change applies only to purchases made after the new price takes effect.

15.3 “Lifetime” — what it means and what it doesn’t

“Lifetime” means: once you purchase Premium, you remain a Premium Member for the lifetime of your account, without recurring payment, subject to these Terms and to the continued operation of the Service.

We may at some point discontinue the one-time-purchase Premium product and transition new sign-ups to an annual subscription model. If we do this, existing lifetime Premium Members will not be moved to a recurring plan. Your lifetime status is preserved for as long as your account is active and in good standing.

If we terminate the Service entirely, Premium membership terminates with the Service. See §19.

15.4 Refunds on Premium

Premium purchases are non-refundable except:

  • Where applicable consumer protection law grants a cooling-off right and you have not substantially used the Premium features (see §11.4).
  • Where we terminate your account without cause in §19.
  • Where we discontinue the Premium product within 12 months of your purchase, in which case we will issue a pro-rata refund in SOL to your linked Wallet.

15.5 Premium fraud and revocation

Premium status obtained through fraud, chargeback (where possible), or in violation of these Terms may be revoked without refund. Referral Commissions already paid out that depended on the fraudulent Premium status may be clawed back.

16. Sales of tokens, securities, and regulated products

You may not use the Service to:

  • Offer or sell any security without appropriate registration and exemptions.
  • Offer or sell any regulated financial instrument without appropriate licences.
  • Conduct an “initial coin offering,” “initial dex offering,” token sale, or similar primary offering of any cryptocurrency, token, or NFT.
  • Offer gambling or betting services, including prediction markets, without appropriate licensing.
  • Sell or promote pyramid or multi-level-marketing arrangements.
  • Offer services that require professional licensure (medical, legal, financial advisory) unless you hold the required licence and disclose your jurisdiction of licensure.

If fam.work becomes aware that an offering on the Service is an unregistered security or unlicensed regulated product, we may remove the listing and terminate the Seller’s account without notice.

17. Third-party services

The Service may integrate with or depend on third-party services, including:

  • Solana blockchain (including third-party RPC providers).
  • Wallet providers such as Phantom and Solflare.
  • Social login providers such as Google and X.
  • Messaging infrastructure such as Pusher.
  • Email delivery providers such as Mailgun.
  • Hosting and infrastructure providers.

fam.work is not responsible for third-party services. Your use of those services is governed by the third party’s terms. Outages, bugs, or data loss at a third party may affect the Service; we will work in good faith to restore functionality but do not guarantee against third-party failures.

18. Communications

By creating an account you consent to receive transactional communications from fam.work, including:

  • Account and security notifications.
  • Order notifications.
  • Dispute notifications.
  • Changes to these Terms.

You may receive marketing communications only if you have opted in. You can manage your preferences through your notification settings. Transactional communications cannot be unsubscribed while your account is active.

All communications are governed by our Privacy Policy.

19. Suspension and termination

19.1 By you

You may terminate your account at any time through your account settings or by contacting hey@fam.work. Termination does not cancel:

  • Orders in progress (you must complete or close them before termination can take effect).
  • Funds currently in Escrow (these must be resolved to completion or through dispute).
  • Obligations already accrued under these Terms (e.g., tax liability, pending Referral Commissions).

We will retain certain information after account termination as required by law and as described in our Privacy Policy.

19.2 By us — for cause

We may suspend or terminate your account at any time, with or without notice, for:

  • Violation of these Terms.
  • Suspected fraud or abuse.
  • A legal requirement (court order, regulatory direction).
  • A sanctions or eligibility issue under §2.
  • Non-responsiveness to security or identity verification requests.

Termination for cause may include forfeiture of Referral Commissions and funds held in Escrow for disputed Orders.

19.3 By us — for convenience

We may terminate your account or discontinue the Service entirely without cause on 30 days’ notice. In this case:

  • We will process Orders in progress to completion where possible.
  • Premium refunds may be owed per §15.4.
  • Your stored content may be exported before deletion.

19.4 Effect of termination

On termination, your right to use the Service ceases. Sections that by their nature survive termination (including §12.2 licences already granted, §20, §21, §22, §23, §24, §25, and §26) continue to apply.

20. Warranties and disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the maximum extent permitted by law, fam.work disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.

Specifically, we do not warrant that:

  • The Service will be uninterrupted, error-free, or secure.
  • Defects will be corrected.
  • The Service or servers are free of viruses or malicious code.
  • Any Seller will deliver as promised, or any Buyer will act in good faith.
  • The smart contract will be free of exploits or bugs.
  • Any cryptocurrency will retain its value.

Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the exclusions in this section apply only to the maximum extent permitted by that jurisdiction’s law.

21. Your risk

You accept that:

  • You use the Service at your own risk.
  • You are responsible for your decisions about which Gigs to buy or list, and the amounts you transact.
  • Cryptocurrency transactions are volatile, irreversible, and may expose you to financial loss.
  • See our Crypto Risk Disclosures for specific risks related to blockchain-based payments.

22. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, fam.work AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, punitive, or exemplary damages.
  • Loss of profits, revenue, data, business opportunity, or goodwill.
  • Any damages resulting from:
    • Acts or omissions of other users (Buyers, Sellers, Referrers).
    • Fluctuations in cryptocurrency prices.
    • Security breaches or smart contract exploits not caused by our gross negligence.
    • Third-party services.
    • Unauthorised access to your account or Wallet arising from your failure to maintain security.

Aggregate liability cap. In any event, fam.work’s total cumulative liability to you for any and all claims arising from or related to the Service shall not exceed the greater of:

  • (a) the total Platform Fees fam.work has earned from your Orders in the twelve months preceding the event giving rise to the claim, or
  • (b) USD $100 equivalent.

Some jurisdictions do not allow limitation of certain damages. In those jurisdictions, these limitations apply only to the extent permitted by law.

23. Indemnification

You agree to defend, indemnify, and hold harmless fam.work and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

  • Your violation of these Terms.
  • Your violation of any law or the rights of any third party.
  • Any content you submit to the Service.
  • Your transactions with other users.
  • Your tax obligations.

24. Governing law and dispute resolution (you vs. fam.work)

24.1 Governing law

These Terms are governed by and construed under the laws of England and Wales, without regard to conflict-of-law principles. Where applicable consumer-protection law of your country of residence gives you stronger rights, that law continues to apply.

24.2 Informal resolution first

Before filing any formal claim, you agree to first contact hey@fam.work with a written description of the dispute and a proposed resolution. We will work in good faith to resolve the dispute within 45 days.

24.3 Binding arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved through binding individual arbitration administered by the London Court of International Arbitration (LCIA) under its rules then in effect. The arbitration shall be conducted in London, England, in English, by a single arbitrator. The arbitrator’s decision shall be final and binding.

24.4 Class action waiver

To the extent permitted by law, you and fam.work each waive the right to a trial by jury and the right to bring any claim on a class, consolidated, or representative basis. Claims must be brought individually.

24.5 Carve-outs

Notwithstanding §24.3 and §24.4:

  • Either party may seek injunctive or equitable relief in a court of competent jurisdiction for matters including intellectual property, account access, or security incidents.
  • Small-claims court claims may be brought without arbitration, at the option of the party bringing the claim.
  • EU and UK consumers retain their right to bring proceedings in their country of residence to the extent required by law.

25. Changes to these Terms

We may update these Terms from time to time. When we do:

  • We will post the updated Terms at this URL with a new version number and effective date.
  • For material changes, we will notify you via email and via a prominent in-app notice at least 14 days before the change takes effect.
  • For immaterial changes (typos, clarifications, non-substantive updates), we may update without notice.

Continued use of the Service after an update takes effect constitutes acceptance of the updated Terms. If you do not accept the updated Terms, you must stop using the Service.

26. Miscellaneous

26.1 Entire agreement

These Terms, together with our Privacy Policy, Cookie Policy, and Crypto Risk Disclosures, constitute the entire agreement between you and fam.work and supersede all prior agreements.

26.2 Severability

If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect.

26.3 No waiver

Our failure to enforce any provision does not waive our right to enforce it later.

26.4 Assignment

You may not assign your rights under these Terms without our consent. We may assign these Terms to an affiliate or successor (for example, in a merger or acquisition) without your consent.

26.5 Force majeure

Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, regulatory action, blockchain network outages, or internet infrastructure failures.

26.6 No agency

Nothing in these Terms creates an agency, partnership, employment, or joint-venture relationship between you and fam.work.

26.7 Headings

Headings are for reference only and do not affect interpretation.

26.8 Language

These Terms are written in English. Where we provide a translation, the English version controls in the event of any discrepancy.

26.9 Notices

Notices to fam.work must be sent to hey@fam.work. Notices to you may be sent to your registered email address and will be deemed received 24 hours after sending.
